TAYLORD SUCCESS AFFILIATE AGREEMENT

Effective August 27, 2026

This Affiliate Agreement ("Agreement") is entered into by and between Taylord Success ("Company") and the approved affiliate ("Affiliate").

By participating in the Taylord Success Affiliate Program, Affiliate agrees to the following terms:

1. PROGRAM OVERVIEW

Affiliate agrees to promote Taylord Success digital products and programs, including but not limited to:

Foundations of Nourishment
Nourish with Purpose, Not Restriction
Nourish 52
Nourish 52 Corporate Wellness
Lifestyle Meal Prep with Chef Tiesha (Ebook)

Affiliate will receive a unique tracking link and a unique coupon code through Kajabi.

2. COMMISSION & DISCOUNT STRUCTURE

Affiliate Commission: 15% of the product's full list price
Client Discount: 10% off the full list price, applied to the customer at checkout when they use the Affiliate's link or code
This structure applies across all individual products, unless otherwise stated in writing by Company. Corporate referrals are governed by Section 3.

Commissions are calculated on the product's full list price, before the client discount is applied. Example: on a $10,000 program, the customer pays $9,000 and the Affiliate earns $1,500.

Referral Attribution Window. When a prospective customer clicks an Affiliate's tracking link, that referral is credited to the Affiliate for 90 days. If the purchase is completed within those 90 days, the Affiliate earns commission — even if the customer returns later through a different path. After 90 days the attribution expires. A purchase made with the Affiliate's coupon code is credited to that Affiliate regardless of the attribution window.

Self-Referral. Affiliates may not use their own affiliate link or code for personal purchases, or for purchases by members of their immediate household or immediate family. Self-referred commissions will be voided.

3. CORPORATE REFERRALS

Corporate programs, including Nourish 52 Corporate Wellness, are sold through direct conversation rather than checkout. They are not tracked by link or coupon code, and no client discount is applied to corporate agreements.

Registration required. To earn commission on a corporate referral, Affiliate must register the introduction using the Corporate Referral Registration form at or before the time of introduction. An unregistered introduction earns no commission.
Prior contact. A referral will not be credited if Company is already in active conversation with that organization at the time of registration. Company will notify Affiliate within five business days if a registration is declined for this reason.
Registration window. A confirmed registration is credited to the Affiliate for 180 days. If the organization signs a corporate agreement within that window, commission is earned.
Commission. 15% of the first twelve (12) months of recurring fees actually collected from that organization.
Payment. Paid once, in a single payment, after the organization has completed 90 days of active, paid service.

4. PAYOUTS

Affiliate commissions become payable 30 days after the sale. This window protects both parties against chargebacks and payment failures.
Payouts are issued via Kajabi's affiliate payout system, subject to Kajabi's payout schedule and minimum payout thresholds.
Affiliate is responsible for providing and maintaining accurate payout information, including a valid PayPal email address.
Tax documentation. Affiliate must provide a completed Form W-9 (or Form W-8BEN for non-U.S. Affiliates) before any payout is issued. Company will issue a Form 1099-NEC where required by law.

5. COMMISSION REVERSALS

Company does not offer refunds on its programs. Commissions may still be reversed in the following circumstances:

The customer initiates a chargeback or payment dispute that is resolved in the customer's favor.
The payment fails, is reversed, or is never collected.
Company grants a discretionary refund or cancellation as a matter of goodwill.
The sale is determined to be fraudulent, self-referred, or in violation of this Agreement.

In any of these cases the associated commission is voided. If the commission has already been paid, it will be offset against future commissions or is repayable to Company on request.

6. AFFILIATE RESPONSIBILITIES

Affiliate agrees to:

Represent Taylord Success truthfully and professionally
Avoid false, misleading, or exaggerated claims — including any guarantee of health, weight, or medical outcomes
Use only approved branding, messaging, and materials
Clearly disclose the affiliate relationship in every promotion. Use #affiliate or #ad, or a plain-language statement such as "I earn a commission if you purchase through my link." The disclosure must be visible without clicking "more." Do not use #partner — it misstates the relationship defined in Section 10.

Affiliate may not:

Use paid ads on branded keywords (e.g., "Taylord Success," "Chef Tiesha," "Nourish 52")
Imply employment, partnership, or ownership with Company
Describe themselves as a partner, co-founder, team member, or representative of Company
Offer unauthorized discounts, bonuses, rebates, or cash-back incentives
Distribute their coupon code through coupon aggregator or deal sites

7. INTELLECTUAL PROPERTY

All content, trademarks, logos, and materials remain the sole property of Taylord Success.

Affiliate is granted limited, revocable permission to use approved materials for promotion only. This permission ends immediately upon termination of this Agreement.

8. TERMINATION

Either party may terminate this Agreement at any time, with or without cause, by written notice.

Company reserves the right to terminate Affiliate participation immediately for violations of this Agreement.

Commissions after termination. Commissions already earned on valid, non-reversed sales will be paid on the normal payout schedule, whether termination was initiated by Affiliate or by Company. The one exception: where Company terminates for fraud, self-referral, or material breach of this Agreement, pending commissions are forfeited.

9. MODIFICATIONS

Company may update these terms with written notice to active Affiliates. Continued participation after the notice date constitutes acceptance. Changes are not retroactive — any referral already tracked or registered before the change takes effect is honored under the terms in place when the referral was made.

10. INDEPENDENT CONTRACTOR

Affiliate is an independent contractor and not an employee, partner, or agent of Taylord Success.

Affiliate is responsible for all applicable taxes related to commissions earned.

11. LIMITATION OF LIABILITY

Company is not liable for Affiliate's statements, marketing practices, or business operations.

12. PROGRAM AVAILABILITY & CAPACITY

Company builds and delivers every program personally and protects the quality of that experience above growth.

Applications. The Program is application-only. Company may pause or close new Affiliate applications at any time, without notice and without cause.
Product availability. Company may close enrollment, waitlist, or withdraw any product from the Program — including Nourish 52 Corporate Wellness — when capacity, staffing, or delivery quality requires it. Company will give active Affiliates 30 days' written notice before withdrawing a product, except where enrollment must close immediately to protect existing clients.
Suspension. Company may suspend the Program in whole or in part, for a defined period, with 30 days' written notice to active Affiliates.
Referrals already in progress are honored. Any referral tracked within the 90-day attribution window before a pause takes effect, and any corporate referral registered and still inside its 180-day window, will be credited and paid under the terms in effect when the referral was made.
Earned commissions are always paid. A pause, closure, or suspension never affects commissions already earned on valid, non-reversed sales.

13. ACCEPTANCE

By enrolling in the Taylord Success Affiliate Program, Affiliate acknowledges and agrees to the terms of this Agreement.
